Disclosure Policy

1.Standards for Information Disclosure

The company will disclose information rapidly in accordance with Financial Instruments and Exchange Act, and other related laws and ordinances, as well as the Rules on Timely Disclosure of Corporate Information by Issuers of Listed Securities (hereinafter referred to as “Timely Disclosure Rules”) prescribed by Tokyo Stock Exchanges based on transparency, fairness and continuity. In addition, our company also strives to disclose information that is deemed to be useful and benefit shareholders’ and investors’ understanding of the company in a timely and appropriate manner, even if it is not subject to the applicable laws and regulations and the timely disclosure regulations. However, we will not disclose personal information, customer information and information that infringes on the parties concerned.

2.Methods of Disclosure

Information stipulated by the Timely Disclosure Rules will be disclosed through the Timely Disclosure Information Transmission System (TDnet) provided by the Tokyo Stock Exchange in accordance with the rules, and will be posted on the Company's website promptly after disclosure through this system. Information that does not fall under the timely disclosure rules, but that we judge to be important or useful, will be widely disclosed through PR information on the Tokyo Stock Exchange, press releases, and posting on our website.

3.Prevention of Insider Trading

The Company has established internal rules such as Timely disclosure relevant information distribution system and Insider Trading Prevention Regulations in order to prevent insider trading. In addition, we shall strive to have internal trainings regarding Insider Trading Regulations in order to promote a thorough understanding and awareness of these rules by officers and employees across the entire group on regularly and call to attention the prevention of Insider Trading via our intranet.

4.Handling of Earnings Forecasts and Future Information

Among the earnings forecasts, future prospects, strategies, goals, etc. disclosed by the Company, statements other than those relating to past or present facts are forward-looking statements, which are based on plans, expectations and judgments in accordance with information currently available to the Company and certain assumptions deemed reasonable.
Therefore, actual earnings results may differ from the disclosed forecasts due to variable factors such as economic conditions and other various uncertain factors.

5.Silent Period

In order to prevent leakage of settlement (including quarterly settlement) information and ensure fairness, the company observes a period of silence from the day after the day accounts are settled until the day the settlement is announced. During this period, we refrain from answering questions or commenting on the settlement or performance outlook. However, if, during this period of silence, the possibility arises that performance will differ significantly from the performance projections, information will be disclosed as appropriate in accordance with the Timely Disclosure Rules.

6.Development of Internal structures

In accordance with this Disclosure Policy, the Company are working to improve and enhance our internal systems to ensure timely and appropriate information disclosure in accordance with laws and regulations and Timely Disclosure Rules.
